Outcome Tracker License Agreement

  1. License. Subject to the terms and conditions of this Agreement, PsychProductsPress grants to the Licensee a license to use the OutcomeTracker system only in connection with licensee's bona fide health care practice for the patients personally treated by the licensee. The Provider Identification Number to be assigned with the licensee is only for the use of the Licensee.

  2. Use, Distribution and Charges. The OutcomeTracker system may only be used by licensee in connection with licensee's stated bona fide health care practice and may not be used or distributed for any other purpose. The Licensee may not distribute the OutcomeTracker system beyond the scope of the applied for license or to other persons for use by other persons.

  3. Responsibility. Before using or relying upon the OutcomeTracker system it is the responsibility of licensee to ascertain the suitability of the OutcomeTracker system for any and all uses made by licensee.

    The OutcomeTracker system is not a diagnostic tool and should not be used as such. The OutcomeTracker system is not a substitute for an independent medical or other appropriate professional evaluation.

    Any and all use of and reliance on the OutocmeTracker system by licensee is at licensee's sole risk and is licensee's sole responsibility.

    The licensee shall indemnify Psych Products Press and its officers, directors, employees, and representatives, and the authors of the OutcomeTracker system against, and hold them harmless from, any and all claims and lawsuits arising from or relating to any use of or reliance on the OutcomeTracker system by the licensee. This obligation to indemnify and hold harmless includes a promise to pay any and all judgments, damages, attorneys' fees, costs and expenses arising from any such claim or law suit.

  4. Construction. The language used in this Agreement is the language chosen by the Parties to express their mutual intent, and no rule of strict construction shall be applied against any Party.

  5. Entire Agreement. This Agreement is the entire agreement of the Parties relating to the OutcomeTracker system.

  6. Governing Law. This Agreement is made and entered into in the State of Rhode Island and shall be governed by the laws of the State of Rhode Island. In the event of any litigation or arbitration between the Parties, such litigation or arbitration shall be conducted in Rhode Island and the Parties hereby agree and submit to such jurisdiction and venue.

  7. Modification. This Agreement may not be modified or amended.

  8. Transferability. This Agreement may not be transferred, bartered, loaned, assigned, leased or sold by the licensee.

  9. Violations. Violations of any provision or stipulation of this Agreement will result in immediate revocation of this license. Punitive damages may be assessed.
